Terms of Service

Please read these Terms of Service ("Terms") carefully before using the websites, products, and services offered by NBGee Foundry, LLC, and its associated brands and websites, including but not limited to nbgeefoundry.com and nbgee.com (collectively, the "Services"). Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms.

1. Agreement to Terms

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Use of Services

You may use our Services only if you can form a binding contract with NBGee Foundry, LLC, and only in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

Any use or access by anyone under the age of 13 is strictly prohibited. If you are between the ages of 13 and 18, you may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

3. Your Content

You retain full ownership of your files, documents, and any other content you submit to the Services ("Your Content"). We don’t claim any ownership of it. These Terms do not grant us any rights to Your Content except for the limited rights that are needed to run the Services.

We need your permission to do things like hosting Your Content, backing it up, and sharing it when you ask us to. Our Services also provide you with features like commenting, sharing, and searching. These and other features may require our systems to access, store, and scan Your Content. You give us permission to do those things, and this permission extends to our trusted third parties we work with.

4. Copyright

We respect the intellectual property of others and ask that you do too. We respond to notices of alleged copyright infringement if they comply with the law. We reserve the right to delete or disable content alleged to be infringing and terminate accounts of repeat infringers.

5. Paid Accounts & Purchases

Billing. You can add paid features to your account or purchase products (like digital downloads or merchandise). We’ll automatically bill you from the date you convert to a paid account or make a purchase and on each periodic renewal until cancellation. You’re responsible for all applicable taxes, and we’ll charge tax when required to do so.

No Refunds. You may cancel your NBGee Foundry, LLC paid account at any time. Refunds are only issued if required by law. For digital products, all sales are final. Please refer to our separate Terms of Sale for Digital Products for more details.

Changes. We may change the fees in effect but will give you advance notice of these changes via a message to the email address associated with your account.

6. Termination

You’re free to stop using our Services at any time. We reserve the right to suspend or terminate your access to the services with notice to you if: (a) you’re in breach of these Terms, (b) your use of the Services would cause a real risk of harm or loss to us or other users, or (c) you haven't accessed our Services for 12 consecutive months.

7. Services "AS IS"

We strive to provide great Services, but there are certain things that we can't guarantee. TO THE FULLEST EXTENT PERMITTED BY LAW, NBGEE FOUNDRY, LLC AND ITS AFFILIATES, SUPPLIERS AND DISTRIBUTORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED "AS IS." WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL NBGEE FOUNDRY, LLC, ITS AFFILIATES, SUPPLIERS OR DISTRIBUTORS BE LIABLE FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR (B) ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, REGARDLESS OF LEGAL THEORY.

9. Controlling Law

These Terms will be governed by Oregon law except for its conflicts of laws principles.

10. Entire Agreement

These Terms constitute the entire agreement between you and NBGee Foundry, LLC with respect to the subject matter of these Terms, and supersede and replace any other prior or contemporaneous agreements, or terms and conditions applicable to the subject matter of these Terms. These Terms create no third-party beneficiary rights.
